By accessing or using the services, website, software, and digital solutions provided by Prutha Technomarket Pvt. Ltd. and Prutha Technomarket Inc. (collectively referred to as "PruthaTek", "we", "us", or "our"), you agree to be bound by these Terms and Conditions.

If you do not agree to these terms, please do not use our services or website. We reserve the right to modify these terms at any time with prior notice through our website updates.

PruthaTek provides custom software development, web and mobile application engineering, digital transformation, enterprise solutions, AI/ML integrations, UI/UX design, and IT consulting services.

Specific deliverables, project timelines, milestones, and payment terms will be governed by individually executed Service Level Agreements (SLAs), Statements of Work (SOW), or Master Service Agreements (MSAs) which supplement these general terms.

Unless otherwise specified in a written agreement, all custom deliverables created for the client upon full payment transfer to the client as agreed under the governing contract.

All proprietary frameworks, pre-existing libraries, toolkits, website content, branding, logos, trademarks, and design assets owned by PruthaTek remain the exclusive intellectual property of PruthaTek.

You agree not to misuse our website or services, including attempting unauthorized access, distributing malware, reverse engineering our code, or engaging in any activity that disrupts normal platform functionality.

Clients are responsible for providing timely access to necessary specifications, credentials, feedback, and approvals required for successful project execution.

Both parties agree to protect all proprietary and confidential business information shared during consultation, development, and ongoing service engagements.

Confidential information will not be disclosed to any third party without prior written consent, except where required by applicable legal obligations.

To the maximum extent permitted by applicable law, PruthaTek shall not be liable for any indirect, incidental, consequential, special, or punitive damages resulting from your use of or inability to use our services.

Our total aggregate liability under any circumstances arising out of or related to these terms shall be limited to the amount paid by the client for the specific service giving rise to the claim.

Either party may terminate a service contract in accordance with the termination clauses outlined in the applicable SOW/MSA.

These Terms and Conditions shall be governed by and construed in accordance with the laws of India and the jurisdiction of Delaware, USA for international engagements, without regard to conflict of law principles.
